David Marcus Discusses Friday's $76 Million Verdict Against RBC
Delaware Vice Chancellor J. Travis Laster awarded stockholders of Rural Metro Corp. $76 million in damages on Friday.
Delaware Vice Chancellor J. Travis Laster awarded stockholders of Rural Metro Corp. $76 million in damages on Friday in a 95-page opinion that will likely cause months of debate and controversy and could have far-reaching effects on Delaware litigation and corporate practice. RBC Capital Markets LLP is liable for the entire figure; a spokesman for the bank said on Friday that it's 'reviewing the decision and considering our options,' which include appealing the ruling to the Delaware Supreme Court. This is the culmination of a case that arose from a 2011 transaction in which Rural Metro sold to Warburg Pincus LLP for a 37% premium.
