An auction wouldn't be much of a sweepstake. And that's exactly why Amazon should try to buy. Amazon can outbid anybody for B & N, which is less than $400 million in market cap, while Amazon has about $20 billion in cash on hand.
For Amazon, why not just take whatever market share B & N has in the book market and sell on its platform? Amazon could just add to its books inventory.
The only question, in my mind, is what to do with B & N's real estate. Does Amazon want start looking for buyers of buildings it would inherit?
