McAfee shares subtracted 4 cents to $24.42 in recent trading.
Citadel specializes in security policy compliance and vulnerability remediation for businesses. McAfee said the addition will be particularly useful to customers in highly regulated industries like government and healthcare.
"Security risk management is emerging as one of our highest-growth opportunities," Kevin Weiss, McAfee president, said in a statement. "This acquisition will help us develop the next generation of real-world security risk management solutions."
The deal is expected to close in the fourth quarter. McAfee reports third-quarter earnings on Oct. 26.
