PALO ALTO, California (
named five new members to its board of directors Thursday, including two former high-profile tech CEOs.
The appointments, effective Jan. 21, will bring the total number of board members to 13.
The new directors are Meg Whitman, former president and chief executive officer of
; Patricia Russo, former chief executive officer of
; Shumeet Banerji, chief executive officer of
Booz & Co.
; Gary Reiner, former chief information officer of
and a current special adviser to private equity firm
; and Dominique Senequier, chief executive officer of
AXA Private Equity
. The five new directors also will stand for re-election at HP's next annual shareholder meeting in March.
In addition, HP announced that incumbent directors Joel Hyatt, John Joyce, Robert Ryan and Lucille Salhany are not standing for re-election at the company's annual meeting of stockholders.
"The addition of these new directors will further diversify the outstanding talents and wide-ranging experience that our directors already bring to HP," said Raymond J. Lane, non-executive chairman of the board of directors. "Each is a widely respected and deeply experienced business leader, and together they will provide our board and management team with new insight and perspectives relating to HP's business and the rapidly changing technology industry."
Lane later told Maria Bartiromo on
that "we need experience at the consumer level," and that Whitman brings that, and in networking and communications, which he said Russo brings. Lane said Reiner represents the "voice of the customer," and Senequier and Banerji bring international experience.
The move highlights more change at the tech giant following the resignation of CEO Mark Hurd in August in a sexual harassment scandal and the naming of Leo Apotheker to succeed him in September. Lane said the board changes were not impacted by the CEO change last year.
Shares of HP closed Thursday at $46.78, up 46 cents or 1%, and were down 2 cents in the afterhours session.
