Chordiant, which is based in Cupertino, Calif., will swap 0.60 shares for each PrimeResponse common share. Chordiant expects to issue about 12.3 million new common shares.
Shares of Chordiant closed at $2.75 Monday, while PrimeResponse, Cambridge, Mass., ended the day at $1.69.
Chordiant expects to close the deal, pending stockholder and regulatory approval, in the second quarter of 2001.
