Under the Option Agreement, RTI granted Mr. Farhat the option to purchase 1,950,000 shares of common stock (the "Stock Options"), as of the Grant Date. The final 650,000 shares will vest if RTI's average publicly traded stock price is over $8.00 for a sixty-consecutive calendar day period.
