OTTAWA, Nov. 16, 2016 /CNW/ - Northern Shield Resources Inc. ("Northern Shield" or the "Company") [TSXV: NRN] is pleased to announce that it intends to complete a non-brokered private placement financing (the "Offering") of 5,883,000 common shares on a flow-through basis ("Flow-Through Shares") within the meaning of the Income Tax Act ( Canada) at a price of $0.17 per Flow-Through Share for aggregate gross proceeds of approximately $1,000,110. All proceeds from the sale of the Flow-Through Shares will be used to incur eligible Canadian Exploration Expenses at the Company's Quebec exploration projects including drilling and exploration at the Séquoi and Sé2 properties. The Flow-Through Shares will be subject to a statutory hold period of four months and one day from the date of closing of the Offering. Closing of the Offering is scheduled to occur on or before November 29, 2016 and remains subject to the approval of the TSX Venture Exchange and other customary closing conditions. The company will be paying a 7% selling commissions and warrants to finders where applicable.
