In the complaint, the defendants are alleged to have violated certain provisions of the Securities Exchange Act of 1934. Specifically, the complaint alleges, among other things, that defendants misrepresented and/or failed to disclose information regarding the risk of the Company's commercial loans portfolio and its processes and controls for assessing the quality of its portfolio. On August 4, 2015, the Company issued a press release announcing its financial results for the quarter ended June 30, 2015. Resource Capital disclosed GAAP net loss of $31.0 million during the quarter, citing the recording of an allowance for loan loss on a mezzanine loan position of $41.1 million in total. On this announcement, the Company's stock fell significantly.
