On April 30, 2015, Audience announced it had signed a definitive merger agreement with Knowles. Under the terms of the transaction, Knowles will offer to acquire Audience's common stock for $5.00 per share, consisting of $2.50 in cash and $2.50 in Knowles common stock. The investigation concerns whether Audience's board failed to satisfy their duties to the Company's shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for the Company's shares of common stock.
