In the complaint, the defendants are alleged to have violated certain provisions of the Securities Exchange Act of 1934. Specifically, the complaint alleges, among other things, that defendants misrepresented and/or failed to disclose that: a) it understated its depletion expense in cost of goods sold by approximately $2 million for the periods ended March 31, 2014 and June 30, 2014; and b) overstated income for continuing operations of $1.9 million for the period ended March 31, 2014 and $2.0 million for the period ended June 30, 2014. According to the complaint, when the truth came out, Rayonier's shares dropped.
