(NASDAQ: ACHC) today announced the pricing of $300 million in senior unsecured notes due 2022 (the “Notes”) in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”). The Notes will be sold to investors at a price of 100% of the principal amount thereof and will bear interest at a rate equal to 5.125% per annum. The Company intends to use its proceeds from the offering to fund a portion of the purchase price for the planned acquisition of Partnerships in Care and the fees and expenses related to the transaction.
