The total acquisition purchase price for both companies is approximately $470 million. EMTEQ and Fischer combined had latest 12 months ended March 31, 2014 revenues of approximately $150 million. The transactions are not expected to be accretive to 2014 earnings per share, but to become accretive in 2015 and to become strongly accretive in 2016. Transaction expenses of approximately $10 million will be a one-time charge in the second quarter of 2014.
