The offering and sale of shares owned by Vivendi S.A. are being made in accordance with the agreements entered into in connection with the transactions previously announced on July 25, 2013. The offering is expected to close and settle on May 28, 2014. Vivendi will receive proceeds of approximately $850 million from the sale.
