The ADT Corporation (NYSE: ADT) today announced the final results of its offer to exchange (the “Exchange Offer”) up to $1,000,000,000 aggregate principal amount of its outstanding $1,000,000,000 6.250% Senior Notes due 2021 (the “Outstanding Notes”) for a like principal amount of its new $1,000,000,000 6.250% Senior Notes due 2021 (the “Exchange Notes”). The Exchange Offer expired at 5:00 p.m., Eastern Time, on May 5, 2014. As of the expiration date, tenders of $999,975,000 of the Outstanding Notes had been received. ADT accepted all of the Outstanding Notes tendered in exchange for the Exchange Notes and settlement occurred on May 9, 2014.
