The actions charge Geron and certain of its officers with violations of the Securities Exchange Act of 1934. Geron is a clinical stage biopharmaceutical company developing therapies for cancer. The Company’s sole product candidate, imetelstat, is designed to inhibit cancer cell replication in hematologic myeloid malignancies such as myelofibrosis or acute myelogenous leukemia.

The actions allege that, throughout the Class Period, defendants misrepresented or failed to disclose that persistent low-grade liver function test (“LFT”) abnormalities had been observed in the Phase 2 study of imetelstat in essential thrombocythemia (“ET”) or polycythemia vera (“PV”) patients, and that there was a potential risk of chronic liver injury following long-term exposure to imetelstat.

On March 12, 2014, Geron disclosed that it had received verbal notice from the U.S. Food and Drug Administration (“FDA”) that Geron’s Investigational New Drug application for imetelstat has been placed on full clinical hold, and that the FDA had expressed concerns about whether the LFT abnormalities were reversible. On this news, the price of Geron shares dropped $2.71 per share, or approximately 61%, from a closing price of $4.40 per share on March 11, 2014, to close at $1.69 per share on March 12, 2014, on extremely heavy trading volume.
