Elizabeth Arden, Inc. Announces Plans For Debt Offering

Elizabeth Arden, Inc. (NASDAQ:RDEN) today announced that, subject to market and other conditions, it plans to offer $100,000,000 aggregate principal amount of Senior Notes due 2021. The notes are being offered as additional notes under an indenture pursuant to which the Company previously issued $250,000,000 aggregate principal amount of 7.375% Senior Notes due 2021.

The Company intends to use the net proceeds from the offering to repay a portion of its outstanding indebtedness under its revolving credit facility.

The notes will be sold to qualified institutional buyers in reliance on Rule 144A, and outside the United States in compliance with Regulation S under the Securities Act of 1933, as amended. The notes will not be registered under the Securities Act or state securities laws and may not be offered or sold by holders thereof without registration unless an exemption from such registration is available.
