The transaction has a total approximate value of $1.3 billion, including the assumption of debt. The Board of CEC has also adopted a Shareholder Rights Plan pursuant to which shareholders may buy one ten-thousandth of a share of junior participating preferred stock at a purchase price of $54.00 per Right if a person or group acquires 10% or more of the Company’s common stock.
