Hovnanian"), priced $150.0 million aggregate principal amount of 7.000% senior notes due 2019 (the "Notes") in a private placement (the "Notes Offering"). The Notes will be guaranteed by the Company and substantially all of its subsidiaries. K. Hovnanian intends to use the net proceeds from the Notes Offering for general corporate purposes, including land acquisition and land development, and to fund the redemption of all of K. Hovnanian's outstanding 6.25% Senior Notes due 2015 and to pay related fees and expenses. The Notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act").
