NuStar Logistics, L.P., a wholly owned operating subsidiary of NuStar Energy L.P. (NYSE: NS), today announced that it has priced $350 million principal amount of 7.625% Fixed-to-Floating Rate Subordinated Notes due 2043. The settlement date for the offering is expected to be January 22, 2013, subject to customary closing conditions. NuStar Logistics granted the underwriters the option to purchase up to an additional $52.5 million principal amount of Notes within 30 days solely to cover over-allotments. NuStar expects to receive aggregate net proceeds from the sale of the Notes of approximately $340.6 million (not including the underwriters’ overallotment option). NuStar intends to use the net proceeds of the offering for general partnership purposes, including repayment of outstanding borrowings under NuStar Logistics’ revolving credit facility, which it may re-borrow to pay for a portion of the purchase price of the TexStar NGL assets or growth capital associated with the TexStar Midstream Services LP acquisition.
