Under the terms of the proposal, public shareholders of NYX will receive $33.12 in cash, 0.2581 ICE common shares, or a mix of $11.27 in cash plus 0.1703 ICE common shares for each share of NYX they own.

The investigation concerns whether NYX’s board of directors failed to adequately shop the Company and obtain the best possible value for NYX’s shareholders before entering into an agreement with ICE.
