Collins, the Chairman of the Board and Chief Executive Officer of Learning Tree, and his wife, Mary C. Collins, to acquire all of the outstanding shares of Learning Tree that they do not already own for a $5.25 per-share price in cash. In response to the proposal, the Board of Directors has established a Special Committee of the Board comprised of independent directors to consider, among other things, the proposal. The Special Committee will retain independent financial advisors and legal counsel to assist it in evaluating this proposal and all other strategic alternatives. The Special Committee will review and consider this proposal carefully in due course, consistent with its fiduciary duties to act in the best interest of stockholders.
