("VisionChina Media" or the "Company") (Nasdaq: VISN) today announced that the Company has received a letter from The Nasdaq Stock Market LLC ("Nasdaq") informing the Company that its American depositary shares ("ADSs") have not met the $1.00 minimum bid price requirement for continued listing on The Nasdaq Global Market under Nasdaq Listing Rule 5450(a)(1). The Company did not meet Nasdaq's minimum bid price requirement because the closing bid price for its ADSs for each trading day in the 30 business day period from May 31, 2012 to July 12, 2012 was less than $1.00 per share. In accordance with Nasdaq Listing Rule 5810(c)(3)(A), the Company has a grace period of 180 calendar days, or until January 9, 2013, to regain compliance with the minimum bid price requirement. To regain compliance, the closing bid price of the Company's ADSs must meet or exceed $1.00 per ADS for a minimum of ten consecutive business days during this 180-day grace period. The Company will consider available options to resolve the non-compliance with the minimum bid price requirement.
