Exterran Holdings, Inc. (“Exterran”) (NYSE:EXH) announced today that it has completed its offer to exchange up to $350 million aggregate principal amount of its 7.25% Senior Notes due 2018 which have been registered under the Securities Act of 1933, as amended (the “Exchange Notes”) for any and all of its outstanding 7.25% Senior Notes due 2018, which were issued in a private placement (the “Private Notes”). The registered exchange offer, which expired at 5:00 p.m., New York City time, on Dec. 6, 2011, fulfilled Exterran’s obligations regarding the registration of its outstanding Private Notes, which were issued on Nov. 23, 2010. According to a registration rights agreement entered into by Exterran in connection with the sale of the Private Notes, Exterran agreed to file a registration statement with the Securities and Exchange Commission relating to the exchange offer. Exterran exchanged all of its Exchange Notes for all of the Private Notes that were tendered by the holders of those notes. The Exchange Notes contain substantially identical terms to the Private Notes.
