Atlas Pipeline Partners, L.P. (NYSE: APL) (“APL”, “Atlas Pipeline”, or the “Partnership”) announced today that it has priced an add-on private offering of $150 million aggregate principal amount of its 8.75% Senior Notes due 2018. The aggregate principal amount was increased from the previously announced aggregate principal amount of $125 million. The notes were priced at 103.50% of their principal amount, plus accrued interest from June 15, 2011, representing a yield to worst of 7.821%. The Partnership intends to use the net proceeds from this offering of approximately $152.3 million to repay a portion of the outstanding indebtedness under its credit facility. The sale of the notes is expected to settle on November 21, 2011, subject to customary closing conditions. The notes will not be registered under the Securities Act of 1933 or the securities laws of any state and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements under the Securities Act and applicable state securities laws. The notes may be resold by the initial purchasers pursuant to Rule 144A and Regulation S under the Securities Act.
