The definitive acquisition agreement involves an all cash transaction valued at approximately $360 million.

The investigation centers on whether Force Protection shareholders are receiving adequate compensation for their shares in the buyout. “Particularly troubling is the fact that Force Protection recently announced positive third quarter financial results that beat analyst expectations and Force Protection shares traded at nearly $6.00 per share in the beginning of 2011,” said shareholder rights attorney Willie Briscoe. In addition, at least one analyst has set a target price of $8.00 per share for Force Protection/FRPT stock. The firms are investigating the fairness of the proposed transaction to Force Protection shareholders and whether Force Protection’s Board of Directors acted in the shareholders’ best interest. In addition, the firms seek to determine whether the transaction undervalues Force Protection stock and whether Force Protection’s board attempted to obtain the highest share price for all shareholders prior to agreeing to the deal.
