Although the proposed acquisition price represents an approximate 16.8% premium over TechTeam Global’s stock closing price the day before the acquisition announcement, TechTeam Global/TEAM’s shares traded as high as $8.94 per shared in late 2009. Based on this and other factors, the proposed transaction may undervalue TechTeam Global/TEAM shares and not be fair to TechTeam Global shareholders. The investigation relates to possible breaches of fiduciary duty and other violations of state law by the Board of Directors of TechTeam Global for approving this transaction and whether TechTeam Global’s Board of Directors acted in the shareholders’ best interests.
