BRE Properties, Inc. (NYSE:BRE) today announced that it will offer, subject to market and other conditions, 5,000,000 shares of its common stock in an underwritten registered offering. The company also plans to grant the underwriters a 30-day option to purchase up to an additional 750,000 shares of common stock to cover over-allotments, if any. BofA Merrill Lynch and Wells Fargo Securities will act as joint book-running managers for the proposed offering.

The company expects to use the net proceeds from the offering for general corporate purposes, which include reducing borrowings under its unsecured revolving credit facility, and may also include financing for acquisitions of rental properties, funding for development activity, the repayment of other indebtedness, and the redemption or other repurchase of outstanding debt or equity securities.
