Fairchild Semiconductor (FCS) said it expects to launch a tender offer to acquire Taiwan-based System General.

The offer will be worth about $2.87 a share. System General's net revenue through the first 11 months of last year was roughly $35 million.

Fairchild said the acquisition, if completed, would be neutral to its earnings per share in 2007 and start adding to its profits the following year.
