EDS ( EDS) said C. Robert Kidder resigned as a director, reducing the board to 10 members, including eight independent directors.

"Bob has been an outstanding director and provided invaluable counsel to EDS for nearly a decade," said CEO Mike Jordan. "We wish him well on his future endeavors."

Kidder joined the EDS board in June 1996 following EDS' split-off from General Motors ( GM). He most recently served as chairman of EDS' Compensation and Benefits Committee and was a member of the Governance Committee. Kidder is a principal of Stonehenge Partners and former chairman of Borden Chemical.

In a letter to Jordan, Kidder said: "I have great admiration for the extraordinary impact you and your leadership are having on the growing strength of EDS in the marketplace."

Early Friday, EDS was set to open at $21.45.
