NEW YORK (TheStreet) -- Shares of PMC-Sierra (PMCS) were gaining 14.3% to $11.69 on Monday following the announcement that Microsemi (MSCC) offered to acquire the semiconductor devices company for $2.4 billion.

Microsemi said it its offer to acquire PMC-Sierra constitutes a "Superior Proposal" to Skyworks' (SWKS) plan to acquire the company for $2 billion.

Microsemi offered to pay $11.50 a share in cash and stock for PMC-Sierra, which represents a 50% premium over the company's closing price on October 5, the day before Skyworks made its bid for the company. Under the deal PMC-Sierra shareholders will receive $8.75 in cash and 0.0736 of a share of Microsemii stock for each share of PMC-Sierra they hold.

"Based on extensive discussions with PMC over the past 18 months and comprehensive analysis, we believe this transaction offers compelling strategic and financial benefits for the shareholders of both Microsemi and PMC," Microsemi CEO James J. Peterson said in a statement.

About 17.1 million shares of PMC-Sierra were traded by 9:55 a.m. Monday, above the company's average trading volume of about 5.9 million shares a day.

Along with the favorable debt-to-equity ratio, the company maintains an adequate quick ratio of 1.10, which illustrates the ability to avoid short-term cash problems.
  • Net operating cash flow has increased to $33.38 million or 17.52% when compared to the same quarter last year. In addition, PMC-SIERRA INC has also vastly surpassed the industry average cash flow growth rate of -78.89%.
  • PMC-SIERRA INC has experienced a steep decline in earnings per share in the most recent quarter in comparison to its performance from the same quarter a year ago. This company has reported somewhat volatile earnings recently. But, we feel it is poised for EPS growth in the coming year. During the past fiscal year, PMC-SIERRA INC turned its bottom line around by earning $0.00 versus -$0.16 in the prior year. This year, the market expects an increase in earnings to $0.46 from $0.00.
  • Compared to its closing price of one year ago, PMCS's share price has jumped by 51.17%, exceeding the performance of the broader market during that same time frame. Looking ahead, however, we cannot assume that the stock's past performance is going to drive future results.
