Thomson (TOC) plans to sell its Thomson Learning division as it realigns to focus on electronic workflow operations.

As a first part of the divestiture, Thomson said it sold its NETg division to

Skillsoft

(SKIL)

for about $285 million. The sale is expected to close in the second quarter of 2007.

In addition, Thomson said it is seeking buyers for its Prometric assessment service through a competitive bidding process. It expects to conclude the sale in 2007.

Competitive bidding for the company's higher education, careers and library reference divisions will begin in the first quarter of 2007, Thomson said.

Shares of Thomson rose $1.59, or 3.9%, to $42.45.
