said it signed a modified agreement with

HCA

to buy four hospitals in West Virginia and Virginia for a base price of $239 million.

The deal also includes price adjustments for capital expenditures and certain working capital items including inventory and the assumption of employee paid-time-off of about $15 million as of April 30.

HCA said the original agreement announced last year involved five hospitals, but the new agreement does not include Putnam General Hospital in West Virginia, which HCA will continue to operate. The orignal purchase price was about $285 million, plus working capital and other adjustments estimated to be $45 million.

The transaction is expected to close by June 30.
