, a producer of power conversion semiconductors, said it would sell $650 million of convertible subordinated notes due 2013 in a private offering.

Under the terms of the offer, initial purchasers of the notes will have an over-allotment option to purchase up to an additional $100 million principal amount of notes within 13 days of the initial issuance of the notes.

The El Segundo, Calif.-based company intends to use the proceeds for general corporate purposes, including the repayment of existing debt, to pay for the cost of convertible note hedge and warrant transactions.
