ElkCorp Taken Out

ElkCorp (ELK) , a maker of roofing and building materials, agreed to be acquired and taken private by the Carlyle Group.

The all-cash transaction is valued at roughly $1 billion, including the assumption of around $173 million of ElkCorp's debt.

Carlyle will pay $38 for each share of ElkCorp, whose stock closed Friday at $35.85.
