. Express Scripts' offer last week totaled $27.8 billion. Express Scripts was rising by 4.5% to $80.51, and Caremark was falling 3.4% at $59.77.

Drugstore chain

CVS

(CVS) - Get Report

, which announced in November that it will merge with Caremark in an all-stock deal valued near $23.4 billion, was shedding 3.1% at $31.58.

Vertex Pharmaceuticals

(VRTX) - Get Report

received an upgrade from Banc of America Securities. The firm raised its rating for the stock to neutral from sell, and Vertex was recently adding $1.55, or 5.3%, to $30.84.

Schering-Plough

(SGP)

slipped after saying it will pay $14.5 billion for the Organon BioSciences unit of the Netherlands'

Akzo Nobel

(AKZOY)

. Schering-Plough was down 22 cents, or 0.9%, to $23.63.

Amgen

was lower by 2.4% after UBS downgraded the biotech company to reduce from neutral while cutting the stock price target to $56 from $71 a share. The stock was off by $1.44 to $59.42.
