Executive Officers

Thomas J. Clarke Jr.
Chief Executive Officer and Chairman
Mr. Clarke is focused on providing the strategy and vision that has enabled TheStreet.com to become a leading multimedia provider of financial commentary, analysis, news and research. Mr. Clarke joined the Street.com in 1999, and brought with him almost 20 years of management experience in the financial services industry. This experience includes a range of management positions and includes experience in starting subsidiaries in foreign countries. Prior to joining TheStreet.com, he served as chief executive of Thomson Financial Investor Relations (formerly Technimetrics Inc.). In this capacity, Mr. Clarke grew Technimetrics into a global entity that services clients in over 20 countries, and successfully oversaw the 1998 sale of Technimetrics from Knight-Ridder to the Thomson Corporation.

Mr. Clarke started his career at Technimetrics in 1984. His previous management experience included positions at McAuto Systems Corp. and Media Records.

Mr. Clarke is a Business Information Advisor for Plum Holdings L.P., a venture capital fund based in Philadelphia that focuses on early-stage media companies. He also serves on the University of Albany's Executive Advisory Board of the Center for Comparative Functional Genomics, and on the board of Standing Stone, Inc., developers of disease state management solutions.

Clarke received a master's degree in business administration from Hofstra University and a bachelor's degree in marketing from St. John's University.

Lisa Mogensen
Chief Financial Officer
Ms. Mogensen joined TheStreet.com in December 1999 from NBC, where she served most recently as Senior Finance Director for Business Development and Strategic Planning.

Her more than 13 years' finance experience includes mergers and acquisitions, public offerings, derivative securities, treasury, budgeting, forecasting and financial control.

Ms. Mogensen earned her bachelor's degree from Duke University and an MBA from the Fuqua School of Business at Duke.

Jordan Goldstein
General Counsel
Prior to joining TheStreet.com in October 1999, Mr. Goldstein was with the law firm of Proskauer Rose LLP.

During his tenure as an associate in Proskauer's corporate department, he worked on a variety of transactions, including mergers, acquisitions, public and private offerings of equity securities and secured financings, as well as representing numerous public company clients in their '34 Act compliance.

Prior to working at Proskauer, Mr. Goldstein was a corporate associate with Rivkin, Radler & Kremer and before that, worked as a staff attorney for Prudential Securities Inc., working in Prudential's limited partnership settlement fund, a securities claims and arbitrations process set up as part of a settlement with the SEC and state regulators to compensate investors for alleged fraud and sales practice violations by the firm.

James Lonergan
President and Chief Operating Officer
Joining TheStreet.com as Chief Operating Officer in February 2001, Mr. Lonergan brings more than ten years of experience in the financial industry. In his most recent appointment as Chief Operating Officer at Worldly Information Network, he oversaw the company's daily operations and was responsible for the structuring of the Worldly Information division, including its more than 70 employees and offices in New York and San Francisco. Prior to joining Worldly Information Network, Mr. Lonergan served as Executive Vice President Chief Operating Officer of an $80 million business unit within Thomson Financial. Additionally, he worked extensively in the investment management community in the investment-decision process and in senior sales, product and marketing roles at Alliance Capital Management and SunAmerica Asset Management.

Mr. Lonergan graduated with an MBA from Fordham University and an undergraduate degree from Villanova University.

Dr. Jeffrey A. Sonnenfeld
Director
Dr. Jeffrey A. Sonnenfeld, associate dean of the Yale School of Management and founder of its Chief Executive Leadership Institute in Atlanta, has more than 25 years of experience studying management performance and CEO leadership. His research has been published in 80 scholarly articles, which have appeared in leading management academic journals such as The Harvard Business Review, Administrative Sciences Quarterly, The Academy of Management Journal, The Academy of Management Review, The Journal of Organizational Behavior, Social Forces, Human Relationsand Human Resource Management. He has also authored five books including The Hero's Farewell, an award winning study of CEO succession. His work is regularly cited in Fortune, Business Week, The Wall Street Journal, The New York Times, Newsweek, Time, The Washington Post and the television programs 60 Minutes,The Today Show,Nightline,Good MorningAmerica, CNN's Crossfireand Talkback Liveand CNBC's Power Lunch

Some of Dr. Sonnenfeld's recent achievements and honors include Business Week'sStand Out New Management Book of the Year; The American Society of Training and Development's Outstanding Contributions to Executive Education; Emory University's Outstanding Educator Award; Sacred Heart University and Connecticut Governor John Rowland's Distinguished Innovation in US Management Education; AT&T's Prize for Research in Social Issues and the Academy of Management's Outstanding Research in Social Issues and Dissertation of the Year in Social Issues.

James Meyer
Director
Mr. Meyer is a managing director at Novantas, a consulting firm specializing in customer science. Prior to joining Novantas, Mr. Meyer was president of Golden Square, a marketing consultancy he founded, and senior advisor to The Cambridge Group in New York. Mr. Meyer spent 20 years in advertising prior to founding Golden Square. He was president and chief strategy officer of M&C Saatchi in New York and served as senior vice president of three major agencies, D'Arcy, J. Walter Thompson, and Saatchi & Saatchi. His past and present clients include Procter & Gamble, Microsoft, Kellogg, General Mills, American Express, British Airways and Ameritrade, as well as dozens of smaller companies and start-ups, including TheStreet.com.

Mr. Meyer holds a BA and an MBA from Duke University.

James J. Cramer
Markets Commentator and Director
Mr. Cramer graduated magna cum laude from Harvard College in 1977, where he was President of The Harvard Crimson and where he spent four years as a journalist before earning a law degree from Harvard. Mr. Cramer is a co-founder of TheStreet.com, an online financial publication. After joining Goldman, Sachs & Co. in 1984, he worked in the firm's Private Client Services unit. In 1987 he started Cramer & Co. After a stellar 2000, Mr. Cramer's fund finished up the year +36% vs. -11% for the S&P and -6% for the Dow Industries. Mr. Cramer decided it was time to get out and he now devotes all his attention to TheStreet.com. Mr. Cramer joined TheStreet.com in January 2001 and is the Markets Commentator and Advisor to the CEO, Thomas Clarke, Jr.

In addition, Mr. Cramer is the Market's Commentator for CNBC's Squawk Box, co-host of America Now, a new CNBC program co-hosted by Mr. Cramer and Larry Kudlow, a frequent contributor to New York Magazine and is a co-founder of the magazine SmartMoney.

Daryl Otte
Director
Mr. Otte is a Founding Partner of Montefiore Partners , a venture capital investment fund management firm. Prior to founding Montefiore Partners, Mr. Otte was Senior Vice President and member of the Executive Committee of Ziff-Davis, Inc., a leading media company principally owned by Japan's Softbank Corporation.

During his five years at Ziff-Davis, Mr. Otte initiated and managed acquisition and development projects and venture investments including some of the early and successful commercialization efforts of the Internet. Mr. Otte also worked at various development and finance positions at Reed Elsevier PLC in the United States and abroad and in management consulting and audit for Arthur Young & Company.

Mr. Otte holds a BA from the University of California and an MBA from Harvard University.

Douglas A. McIntyre
Director
Mr. McIntyre, is Chairman, President and Chief Executive Officer of On2.com (ASE: ONT). He is responsible for On2.com's operations and financial activities, including leveraging relationships within the Wall Street and technology-investment communities and leading the execution of the company's business-to-business broadband strategic initiatives.

Prior to On2.com, he served as President and CEO of Future Source/Bridge LLC, President of Switchboard.com, and President and Publisher of FinancialWorld magazine. Mr. McIntyre also has held positions at Veronis Suhler & Associates, TIME, Inc. and Penthouse International.

Martin Peretz
Director
Dr. Peretz has been editor-in-chief of The New Republic since 1974. He served on the faculty of Harvard University from 1966 to 2001 when he retired. Dr. Peretz also serves as director of 11 mutual funds managed by the Dreyfus-Mellon Bank Group and of the Digital Learning Group, a web-based textbank publisher. He is a Founding Partner of Montefiore Partner.

Dr. Peretz holds a bachelor of arts degree from Brandeis University and master's and doctorate degrees from Harvard. He holds numerous honorary degrees from institutions at home and abroad. He has been awarded the Jerusalem Medal, the Medal for Distinction of the University of Missouri's School of Journalism and the National Magazine Award for Outstanding Achievement in Essays and Criticism and for General Excellence of the Columbia University Graduate School of Journalism.

Dr. Peretz is past chairman and now honorary chairman of the Jerusalem Foundation. He is a trustee of the Center for Blood Research at Harvard Medical School, Bard College, the YIVO Institute for Jewish Research, The Institute of United States Studies in London and the American Academy for Liberal Education, a college and university-accrediting agency recognized by the U.S. Department of Education.
