National Health Investors, Inc. (NYSE: NHI) announced today it has commenced an underwritten public offering of $175 million aggregate principal amount of Convertible Senior Notes due 2021 (the “Notes”). NHI expects to grant the underwriters a 30-day option to purchase up to an additional $25 million aggregate principal amount of the Notes to cover over-allotments, if any. The interest rate, conversion rate and other terms of the Notes will be determined at the time of pricing the offering.
NHI intends to use the net proceeds from the offering to reduce amounts outstanding under its revolving credit facility and for general working capital purposes.
BofA Merrill Lynch and J.P. Morgan are the joint book-running managers for the offering. The offering will be made pursuant to a prospectus supplement and a related prospectus dated March 18, 2014, filed as part of NHI’s effective shelf registration statement.
