On November 15, 2013, Gas Natural announced that an Opinion and Order had been issued by the Public Utilities Commission of Ohio (PUCO) in relation to gas cost recovery cases involving two of the Company’s operating subsidiaries, which concluded that “there is a severe organizational dysfunction within the companies and between the regulated companies and their non-regulated affiliates.”
Then on November 19, 2013, the Company filed its Form 10-Q, announcing its financial results for the quarter ended September 30, 2013. The Company also announced that the PUCO Order, among other recommendations, suggested that Gas Natural investigate and commence a forensic audit of the subsidiaries, related companies, and the Company’s internal controls.
KSF’s investigation is focusing on whether Gas Natural’s officers and/or directors breached their fiduciary duties to Gas Natural’s shareholders or otherwise violated state or federal laws.
