Law Offices of Howard G. Smith announces that it is investigating potential claims on behalf of shareholders of Gas Natural, Inc. (“Gas Natural” or the “Company”) (NYSE MKT:EGAS). The investigation is related to potential violations of federal securities laws and/or breaches of fiduciary duties, and focuses on certain statements issued by the Company concerning Gas Natural’s operations and financial performance.
Gas Natural engages in the distribution and sale of natural gas to residential, commercial and industrial customers in the United States. The investigation is related to a Form NT 10-Q the Company filed on November 22, 2013 with the Securities and Exchange Commission, disclosing that the Company’s third quarter 2013 financial results would be delayed. According to the Form NT 10-Q, the Company needed to analyze the impact on its third quarter results of a November 13, 2013 Opinion and Order issued by the Public Utilities Commission of Ohio, “related to the gas cost recovery cases involving Northeast Ohio Natural Gas Corp. and Orwell Natural Gas Company, which are two of the operating subsidiaries of [the Company].” On November 22, 2013,
published an article alleging that the Public Utilities Commission of Ohio Opinion and Order “raises some serious questions about the quality of management, effectiveness of internal controls, and the preponderance of related party transactions.”
If you purchased Gas Natural shares between November 14, 2011 and November 22, 2013, if you have information or would like to learn more about these claims, or if purchased shares prior to November 14, 2011, and still hold those shares and have any questions concerning this announcement or your rights or interests with respect to these matters, please contact Howard G.
