(“CCG” or the “Company”) (NYSE: CCG), today announced that it has filed with the Securities and Exchange Commissiona registration statement on Form S-3 covering resales of its common stock that may be issued from time to time upon exchange of the 4.75% Exchangeable Senior Notes due 2018 (the “Notes”) issued by Campus Crest Communities Operating Partnership, LP, its operating partnership. The registration statement is technically subject to review by the Securities and Exchange Commission and the Company is awaiting a determination regarding whether the Securities and Exchange Commission will undertake such a review.
This release is being issued in order to comply with the terms of the indenture and registration rights agreement relating to the Notes. CCG will not receive any of the proceeds from the resale of the common stock issuable upon exchange of the Notes.
The registration statement has been filed with the Securities and Exchange Commission, but is not yet effective.
