of shares of its common stock. The offering will be made under the Company's effective shelf registration filed with the Securities and Exchange Commission covering the issuance from time to time of various securities of the Company.
The net proceeds from this offering will be used to pay a portion of the cash consideration for the previously announced merger with Lender Processing Services, Inc. (NYSE: LPS). If the company does not consummate the merger, the net proceeds will be used for general corporate purposes, which may include the repurchase of shares of its common stock.
