The registration statement relates to the offering of 1,262,471 of the Company’s ordinary shares by Kingsway America Inc. and certain of its subsidiaries, as selling shareholders. The registration statement was filed by the Company pursuant to a registration rights agreement between the company and Kingsway. The Company will not sell any shares in the offering and will not receive any proceeds from the sale of such shares by the selling shareholders.
