Moody's Corporation Prices Senior Unsecured Notes Offering

Moody's Corporation (NYSE: MCO) (“Moody’s” or the “Company”) today announced that it priced an underwritten public offering of $500 million aggregate principal amount of 4.875% senior unsecured notes due 2024. The offering is expected to close on August 12, 2013, subject to customary closing conditions.

Moody's expects to use the net proceeds from this offering for general corporate purposes, including working capital; capital expenditures; acquisitions of or investments in businesses or assets; the redemption and repayment of short-term or long-term borrowings; and purchases of its common stock under its ongoing stock repurchase program.

J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated and RBS Securities Inc. are the joint book-running managers of the notes offering.
