Atlas Pipeline Partners, L.P. (NYSE: APL) ("APL", "Atlas Pipeline", or the "Partnership")
announced today that it intends to offer
of Senior Notes due 2021 in a private placement, subject to market conditions. The Partnership intends to use the net proceeds from this offering to repay outstanding amounts under its revolving credit facility, including amounts drawn to partially fund the previously announced TEAK Midstream, L.L.C. acquisition.
The notes will not be registered under the Securities Act of 1933 or the securities laws of any state and may not be offered or sold in

absent registration or an applicable exemption from the registration requirements under the Securities Act and applicable state securities laws. The notes may be resold by the initial purchasers pursuant to Rule 144A and Regulation S under the Securities Act.
