(NYSE MKT:NBS) ("NeoStem" or the "Company"), a leader in the emerging cellular therapy market, today announced the pricing of an underwritten public offering of 20,000,000 shares of common stock at a public offering price of $0.50 per share. The Company expects to receive $10,000,000 in gross proceeds, before deducting underwriting discounts and commissions and offering expenses payable by the Company. The Company has granted the underwriters a 45-day option to purchase up to 3,000,000 additional shares of common stock to cover over-allotments, if any. The Company intends to use the net proceeds from this offering for working capital, including research and development of cell therapeutic product candidates, including AMR-001, expansion of business units, strategic transactions and other general corporate purposes.
The financing is expected to close on or about May 3, 2013, subject to the satisfaction of customary closing conditions.
