convertible debenture private placement. The debentures are convertible into 6,500,000 common shares of the Company for two years from closing at the rate of
per share. The debenture holder has also been issued warrants to purchase up to 6,500,000 additional common shares at
per share, exercisable for one year from the date of closing.
All common shares issued as a result of the conversion of the debentures or the exercise of the warrants will have a resale restriction until
August 13, 2013
The proceeds of the financing will be used for exploration of the Company's projects in
and for general working capital purposes.
