DALLAS, April 2, 2013 (GLOBE NEWSWIRE) -- PMFG, Inc. (the "Company") (Nasdaq:PMFG) today announced that its Board of Directors has unanimously approved, and the Company has entered into, an amendment to the Company's Stockholder Rights Plan (the "Rights Plan") accelerating the expiration date of the rights plan from August 2018 to June 29, 2013. Stockholders do not have to take any action as a result of this termination.
Sherrill Stone, Chairman of the Board, said, "In light of the recent feedback from Company stockholders and shareholder service organizations concerning the ongoing benefit of the Rights Plan to the Company's stockholders' the Board of Directors has decided to terminate the Rights Plan. Additional changes to the Company's corporate governance framework and compensation structure are under consideration."
