Rogers, Jr. will not stand for re-election to the Board of Directors at the 2013 annual meeting of shareholders. Mr. Rogers has attained the suggested retirement age under the Company’s Corporate Governance Guidelines. Mr. Rogers’ term will expire effective upon conclusion of the Company’s 2013 annual meeting of shareholders. Mr. Rogers serves as the Chair of the Company’s Executive Compensation Committee and as a member of the Nominating and Governance Committee. Mr. Rogers has served on the Kindred Board since August 2003.
