Claire's Stores, Inc. Announces Pricing Of $210.0 Million Of 6.125% Senior Secured First Lien Notes Due 2020
CHICAGO, March 7, 2013 /PRNewswire/ -- Claire's Stores, Inc. (the "Company") today announced the sale of $210.0 million aggregate principal amount of 6.125% senior secured first lien notes due 2020. The notes were priced at par. Settlement is scheduled to occur on March 15, 2013.
The Company intends to use the net proceeds of the offering, together with cash on hand, to purchase up to $210.0 million aggregate principal amount of its 9.25% senior notes due 2015 and its 9.625%/10.375% senior toggle notes due 2015 pursuant to an Offer to Purchase dated March 1, 2013 or a subsequent redemption. The closing of the note offering will satisfy the Financing Condition in the Offer to Purchase.
The notes are being offered only to "qualified institutional buyers" in reliance on Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States only to non-U.S. persons in reliance on Regulation S under the Securities Act.
