Ventas, Inc. (NYSE: VTR) (“Ventas” or the “Company”) announced today that it has established an “at-the-market” equity offering program through which it may sell up to an aggregate of $750 million of its common stock. Under the program, the Company may offer and sell shares of its common stock from time to time through BofA Merrill Lynch, Barclays, Citigroup, Goldman, Sachs & Co., J.P. Morgan, and RBC Capital Markets, as sales agents.
Sales, if any, of the Company’s common stock pursuant to the program will be made primarily in “at-the-market” offerings, including sales made directly on the New York Stock Exchange or sales made to or through a market maker or through an electronic communications network. Sales may also be made in privately negotiated transactions.
The Company intends to use the net proceeds for general corporate purposes, including to fund acquisitions and investments and to repay indebtedness.
